These Terms and Conditions ("Terms") govern your use of www.ryburncommercials.co.uk (the "Site") and all services provided by Ryburn Commercial Services Ltd (Company No. 13511979), registered at 2 Stones Drive, Ripponden, Sowerby Bridge, West Yorkshire, HX6 4NY ("we", "us", "our").
By using this Site or purchasing any of our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use this Site or our services.
1. General Use of This Site
You agree to use this Site lawfully and in accordance with these Terms. You must not:
Use the Site for any unlawful purpose
Upload documents containing unlawful, defamatory, or fraudulent content
Attempt to gain unauthorised access to any part of the Site or our systems
Violate the intellectual property rights of Ryburn Commercial Services Ltd or any third party
Upload documents to which you do not hold the right to share or process
We reserve the right to suspend or terminate access to the Site at any time if we reasonably believe these Terms are being violated.
2. The Free AI Contract Risk Review
2.1 Nature of the service
The free AI Contract Risk Review tool ("the Tool") uses artificial intelligence to analyse uploaded contract documents and generate an indicative risk score and findings. This service is provided free of charge as a preliminary screening tool only.
2.2 Not professional advice
The output of the Tool does not constitute professional advice of any kind — whether legal, commercial, contractual, or otherwise. It is generated by artificial intelligence and is provided for general informational purposes only. It must not be relied upon as the basis for any contractual, commercial, financial, or legal decision.
Ryburn Commercial Services Ltd expressly disclaims all liability for any loss, damage, or adverse outcome arising from reliance on the AI-generated output, whether in whole or in part.
2.3 Accuracy and limitations
The Tool uses AI which may produce inaccurate, incomplete, or misleading output. The analysis is limited to the contract conditions uploaded and does not extend to:
Engineering drawings
Technical specifications
Bills of quantities
Programmes or method statements
Verbal agreements or side letters not included in the uploaded documents
We make no representation that the Tool will identify all risks present in a contract, or that risks identified are exhaustive.
2.4 Your responsibility for uploaded documents
By uploading a document to the Tool, you confirm that:
You are authorised to share the document for this purpose
The document does not contain any information you are prohibited from disclosing
You understand the document will be processed by an artificial intelligence system operated by a third-party provider (Anthropic PBC)
We accept no responsibility for any consequences arising from the unauthorised upload of confidential or restricted documents.
2.5 AI processing and data
Documents uploaded to the Tool are transmitted to Anthropic PBC for AI processing. Please refer to our Privacy Policy for full details of how your data and uploaded documents are handled.
3. The Paid Contract Review & Consultation Service
3.1 What is included
The Contract Review & Consultation service ("the Service") comprises:
A clause-by-clause written review of the contract conditions you provide
A written risk report identifying areas of contractual exposure
A recommended amendment schedule
A one-hour video consultation with a member of our team
3.2 Scope of the Service
The Service covers the contractual terms and conditions of the documents you provide. It does not extend to:
Engineering drawings, technical specifications, bills of quantities, or programmes
Legal advice — the Service is a commercial and contractual review, not a legal opinion
Any documents not submitted at the time of purchase or within 30 days of purchase
The Service does not constitute legal advice. You should seek independent legal advice from a qualified solicitor before entering into any construction contract.
3.3 Payment
Payment for the Service is taken at the time of purchase via Stripe. All prices are quoted exclusive of VAT. VAT will be added at the applicable rate. We do not store your payment card details.
3.4 Refund policy
Because the Service involves the allocation of professional time and the delivery of bespoke written work, the following refund policy applies:
Before documents are submitted: A full refund will be provided on request within 14 days of purchase if no documents have been submitted.
After documents are submitted but before the review has commenced: A 50% refund will be provided.
Once the review has commenced: No refund will be provided, as professional time will have been allocated and work will have begun.

3.5 Turnaround
We aim to deliver the written review within 3 working days of receiving your documents. This is a target and not a guarantee. Delivery may be delayed if documents are not submitted promptly or if the contract package is unusually complex.
The consultation will be arranged within 1 working day of receiving your documents and will take place at a time mutually agreed by both parties.
3.6 Confidentiality
We will treat all documents submitted to us under the Service as confidential and will not disclose them to any third party except as required by law or with your consent. Documents submitted for the paid review are not processed by AI — they are reviewed by a member of our team.
4. Intellectual Property
4.1 Our content
All content on this Site — including text, logos, graphics, and the Tool — is the property of Ryburn Commercial Services Ltd and is protected by copyright. You may not reproduce, distribute, or use any content from this Site without our prior written consent.
4.2 Your documents
You retain ownership of any documents you upload or submit to us. By uploading documents to the Tool, you grant us a limited licence to process those documents for the purpose of providing the requested service only.
4.3 Review outputs
The written report and amendment schedule produced under the paid Service are prepared for your use only. You may share these with your professional advisers but may not publish, sell, or distribute them without our consent.
5. Limitation of Liability
5.1 Free Tool
To the fullest extent permitted by law, Ryburn Commercial Services Ltd, its directors, employees, and affiliates shall not be liable for any loss or damage — whether direct, indirect, consequential, or otherwise — arising from your use of or reliance on the free AI Contract Risk Review Tool.
5.2 Paid Service
Our liability in connection with the paid Contract Review & Consultation service shall in all circumstances be limited to the fee paid for that service. We shall not be liable for any indirect or consequential losses, including but not limited to loss of profit, loss of contract, or loss of business.
5.3 Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
6. Indemnity
You agree to indemnify and hold harmless Ryburn Commercial Services Ltd from any claims, losses, damages, or expenses (including reasonable legal fees) arising from:
Your breach of these Terms
Your unauthorised upload of confidential or restricted documents
Your reliance on the AI-generated output of the Tool in a manner not recommended by these Terms
7. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
8. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.
9. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting a notice on the Site. Your continued use of the Site following any changes constitutes your acceptance of the updated Terms.
